Terms of Service

1. Agreement to Terms

By purchasing any service from Site Sensei, you agree to these Terms of Service. These terms govern all services, subscriptions, and deliverables provided by Site Sensei.

2. Subscription & Billing

All services are billed on a recurring monthly basis unless otherwise stated. By purchasing, you authorize automatic billing each month using the payment method provided.

Payments are non-refundable. Charges will continue until cancellation is properly submitted in accordance with these terms.

3. Commitment Periods

Conversion Site — 3-month minimum commitment
Credibility Site — 3-month minimum commitment
Commerce Platform — 4-month minimum commitment
Capture Smart Engine — 6-month minimum commitment

Early cancellation before fulfillment of the commitment period may result in a termination fee equal to the remaining balance of the agreed term.

4. Failed Payments & Non-Payment

If a payment fails or is declined, Site Sensei may attempt to retry the payment using the provided payment method.

If payment is not successfully completed, services may be temporarily suspended until the balance is resolved.

Continued non-payment may result in termination of services, including removal of hosting, access, and associated systems.

Site Sensei is not responsible for any loss of data, traffic, or business performance resulting from service interruption due to non-payment.

Outstanding balances may be subject to collection efforts, recovery costs, or additional fees where permitted by law.

5. Cancellation Policy

A minimum of 30 days written notice is required prior to cancellation.

If notice is not provided, an additional billing cycle will apply. Once a billing cycle begins, it is non-refundable.

6. Onboarding & Project Start

Work begins only after the onboarding call is completed and all required assets are provided. Required assets may include logos, written content, images, login credentials, business details, product information, and any other materials needed to complete the project.

Project timelines do not begin until all required materials are received.

7. Timeline & Delivery

Typical delivery timeline is approximately 30–45 days from onboarding completion.

Site Sensei may conduct an initial onboarding consultation and a final review consultation prior to launch when applicable.

Delays caused by missing assets, delayed approvals, requested changes, or lack of communication may extend timelines.

8. MaxProtect™ System

MaxProtect™ may include hosting, monitoring, updates, optimization, security support, and infrastructure maintenance.

This is an ongoing service and is required to maintain system integrity, uptime, and managed support.

9. Revisions & Updates

Ongoing updates are included within reason based on the selected plan.

Excessive, high-volume, urgent, or out-of-scope requests may be scheduled, limited, or quoted separately.

10. No Guarantee of Results

Site Sensei does not guarantee search rankings, traffic, leads, revenue, sales, customer acquisition, or business outcomes.

Performance varies based on market conditions, competition, client participation, advertising, reputation, third-party platforms, and other external factors.

11. Service Scope

Site Sensei services include the design, setup, hosting, maintenance, and support described in the selected plan or purchase page.

Unless specifically stated in writing, services do not include unlimited revisions, advertising spend, social media management, copywriting beyond agreed scope, product fulfillment, customer service for the client’s customers, accounting, tax advice, legal advice, or guaranteed business results.

12. Intellectual Property

All design systems, layouts, code structures, workflows, frameworks, templates, methods, and proprietary processes remain the intellectual property of Site Sensei unless otherwise agreed in writing.

Clients are granted usage rights for their own business but may not copy, resell, redistribute, sublicense, or replicate Site Sensei systems or frameworks.

13. Commerce Authorization

For commerce-related services, clients authorize Site Sensei to assist with setup, configuration, and technical connection of payment, checkout, product, or store systems as needed.

Clients remain responsible for their own business information, banking information, taxes, refunds, chargebacks, disputes, compliance, product fulfillment, shipping, inventory, and financial reporting.

Site Sensei does not act as a bank, payment processor, accountant, tax advisor, or financial custodian.

14. Third-Party Services

Site Sensei may use or connect third-party services including, but not limited to, hosting providers, Stripe, Supabase, Calendly, email providers, analytics tools, and other platforms.

Site Sensei is not responsible for outages, policy changes, fees, restrictions, account issues, or failures caused by third-party services.

15. Client Responsibilities

Clients agree to provide accurate information, timely feedback, required approvals, access credentials, business materials, and any other resources needed to complete and maintain the project.

Delays caused by the client may delay delivery, launch, updates, or support.

16. Limitation of Liability

Site Sensei shall not be liable for indirect damages, lost revenue, lost profits, business interruption, loss of data, search ranking changes, downtime, third-party platform issues, payment processor issues, or performance outcomes.

To the maximum extent permitted by law, Site Sensei’s liability is limited to the amount paid by the client for the affected service during the most recent billing period.

17. Acceptable Use

Clients may not use Site Sensei services for unlawful, abusive, fraudulent, harmful, misleading, infringing, or prohibited activities.

Site Sensei may suspend or terminate services that violate acceptable use standards, create legal risk, harm system integrity, or damage the reputation of Site Sensei.

18. Chargebacks & Disputes

Clients agree to contact Site Sensei before initiating any payment dispute or chargeback.

Unauthorized disputes, fraudulent disputes, or failure to communicate may result in service suspension, termination, or collection efforts.

19. Termination

Site Sensei reserves the right to terminate or suspend services for non-payment, abuse, non-cooperation, excessive risk, misuse, chargebacks, or violation of these terms.

Upon termination, access to hosting, systems, support, updates, and managed services may be removed.

20. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles.

21. Venue

Any disputes shall be resolved in courts located in Ector County, Texas, unless otherwise required by law.

22. Terms Versioning

Clients are bound by the Terms of Service in effect at the time of purchase. Updates will not retroactively apply unless required by law or agreed to in writing.
